2.2 Non-disclosure & competition
2.2.1. Confidential Information
"Confidential Information" includes all non-public information related to our Company, its clients, employees, business processes, business secrets, secrets related to personal or confidential matters, financial data, technology, products, and services. This information may be in various forms, including but not limited to written, verbal, electronic, or visual.
2.2.2 Obligations
As an employee, you agree to:
Maintain the confidentiality of all Confidential Information you have access to during your employment.
Not disclose, discuss, or use Confidential Information for any purpose other than the performance of your job duties at our Company.
Protect Confidential Information from unauthorized access or disclosure by using the same degree of care that you use to protect your personal confidential information.
2.2.3 Exceptions
This does not apply to information that:
Is publicly available through no fault of your own.
You can demonstrate was already known to you prior to your employment.
You receive legally from a third party with the right to disclose such information.
You independently develop without using or referring to Confidential Information.
2.2.4 Competitive activities & share of data/documents
During the execution of the employment contract, the employee must refrain from engaging in any competitive activities, both on their own behalf and on behalf of a third party.
Furthermore, it is prohibited for the employee, both during the execution and after the termination of the employment contract, to provide or use data (such as inventions, processes, work methods) or documents (such as customer lists) for their own activities, directly or indirectly, that could harm the company or benefit competitive businesses.
2.2.5 Return of Company Property
Upon the termination of your employment or at the company's request, you agree to return all company property, including but not limited to documents, files, electronic devices, keys, access cards, and any other materials containing Confidential Information.
2.2.6 Duration
Your obligations continue indefinitely beyond your employment with our Company.
2.2.7 Consequences of Violation
Any breach of the aforementioned confidentiality obligation and any act of unauthorized and/or unfair competition can not only lead to immediate dismissal but also result in the payment of damages to the employer.
